Yahoo! Express Agreement

1. Acknowledgment and acceptance of this Agreement

1.1 Yahoo! UK Limited (“Yahoo!”) whose office is at 10 Ebury Bridge Road, London SW1W 8PZ provides its express service (“Yahoo! Express”) to you on the terms and subject to the conditions set out below (the “Agreement”), which may be updated by Yahoo! from time to time.

1.2 The current fee for Yahoo! Express is a one-time non-refundable fee of :

US$299.00	per URL
US$725.00	per URL with Adult Content

You acknowledge that the payment of this fee is for Yahoo!’s consideration of your website alone and does not in any way guarantee that your site will be included in the Directory, as defined below. Your payment only guarantees that Yahoo! will consider and respond to your request within seven business days, by either including or not including your website in the Directory. You expressly agree to pay to Yahoo! such fee whether or not your site is accepted or denied inclusion in the Directory.

1.3 By clicking on the “Submit” button on the order page, you represent and warrant that you are 18 years of age or older, that you agree to provide true, accurate, current and complete information (including an accurate email address) as prompted by the registration form, and that you and any third party on whose behalf you are using this website agree to be bound by the term of this Agreement.Yahoo! reserves the right, in its sole discretion, to change, modify, add or remove all or part of this Agreement at any time.

1.4 Where applicable, Yahoo! will send to you only an electronic VAT invoice and will not be required to send to you any other form of invoice. You agree to receive electronic invoices and are responsible for complying with all legal requirements in that respect, including without limitation, notifying HM Customs and Excise that you are receiving electronic invoices.

2. Description of Yahoo! Express

2.1 Yahoo! Express is a fee-based expedited service provided by Yahoo! to consider your website for inclusion in Yahoo!'s main directory of websites currently located at uk.yahoo.com /www.yahoo.co.uk and/or any mirror, replacement or successor website (the "Directory"). All sites that wish to be considered for inclusion in the Directory must comply with the criteria set out at clause 3 below. By signing up with Yahoo! Express, Yahoo! will consider and respond to your request for inclusion in the Directory on an expedited basis. In consideration of your payment and participation in Yahoo! Express in accordance with this Agreement, Yahoo! agrees that a member of Yahoo’s editorial staff will look at your website, consider it for inclusion in the Directory, and respond to you within (7) working days from the date that you submit your website for consideration (exluding holiday periods observed by Yahoo! and any delays due to problems processing your request). Response times are measured based on Yahoo!'s mail servers.

2.2 In order for Yahoo! to consider your website for inclusion in the Directory, you must submit a valid credit/debit card number as part of the registration form. You agree that your credit/debit card will be charged the current NON-REFUNDABLE fee for Yahoo! Express when you submit your website which occurs as soon as you click on the "Submit" button on the order form.

2.3 All adult websites must be submitted to the most appropriate category under Business and Economy/Shopping and Service/Sex. The editorial staff uses a more complicated review process for websites offering adult content and/or services, which requires more time.Yahoo! has strict guidelines on listing websites with adult content. In broad terms, we will not list anything which could be considered “hardcore”. For an idea of what is acceptable, please refer to the adult categories existing on the Directory at

If you submit a website that does contain what Yahoo! in its sole discretion considers “hardcore” material, your website will not be added to the Directory and you will NOT be eligible for a refund.

2.4 NOTHING IN THIS AGREEMENT OBLIGATES YAHOO! TO LIST, LINK TO, ACCEPT OR OTHERWISE HOST YOUR WEBSITE ANYWHERE ON YAHOO!. IN ADDITION, IF YOUR WEBSITE IS ACCEPTED, NOTHING IN THIS AGREEMENT OBLIGATES YAHOO! TO PLACE YOUR WEBSITE WITHIN A SPECIFIC CATEGORY OR SUBCATEGORY, OR TO PROVIDE ANY COMMENTS OR ANNOTATIONS WITH THE LISTING OF YOUR WEBSITE.

2.5 Please note that Yahoo! Express is only open to websites that DO NOT ALREADY EXIST in the Directory. Do not submit your website to Yahoo! Express if your website already appears in the Directory or if you want to request changes to a listing that already appears in the Directory. If you need to make a change to your listing in the Directory (this includes changing the URL, title, and/or description of the existing website), you must use the change form. Your credit/debit card will be charged the current fee for Yahoo! Express if you submit a website that already exists in the Yahoo! Directory. You will also be charged the current fee for Yahoo! Express if you submit change requests through Yahoo! Express.

3. Minimum site criteria

3.1 All websites submitted to Yahoo! Express for consideration for inclusion in the Directory must meet the following minimum criteria:

(a) If the website is a commercial website, the official business name must be visible to any visitor to that site;

(b) The website must clearly define its purpose, products, and/or services;

(c) The website must not already appear in the Directory;

(d) The website must contain substantively unique content, as determined by Yahoo!'s editorial staff (for example, a user who submits multiple URLs directed to the same or similar content is not submitting substantively unique content);

(e) If the website is applicable to a specific geographic region, the address must be visible to any visitor to that site;

(f) The website must not contain any parts under construction;

(g) All links on the website must work (and must link to relevant content);

(h) The website must be in the English language (or have an English version available);

(i) The website must support multiple browsers and capabilities (for example, no Java-only sites);

(j) The website must be up and running 24 hours a day, 7 days a week;

(k) The website must not contain any content, products, services or other information that, in Yahoo!'s reasonable determination, may breach any applicable laws, rules and regulations, may infringe or breach anyone's rights, or that, Yahoo!, in its sole discretion, believes is inflammatory, offensive, or otherwise inconsistent with the spirit of Yahoo! Express; and

(l) If your website offers services on a subscription basis, you must provide Yahoo! with a trial password or subscription ID as part of the registration form. The password/subscription ID will be valid for a period of not less than 90 days and will be used by Yahoo! solely as part of its evaluation of whether your website meets and maintains the minimum site criteria set out in this clause.

(m) As a general rule, Yahoo! UK and Ireland does not list sites offering or selling prescription-only or pharmacy-only medicines.

3.2 The criteria in sub-clause 3.1 are also the criteria against which your website will be judged when Yahoo! decides whether to accept or reject your site. THESE CRITERIA ARE MINIMUM REQUIREMENTS ONLY, AND YAHOO!, IN ITS SOLE DISCRETION, MAY CONSIDER OTHER RELEVANT CRITERIA BEFORE ACCEPTING OR REJECTING A SITE.

4. Selection and listing of sites

4.1 Yahoo! reserves the right to decide whether, where, and how a website is listed in the Directory. If Yahoo! accepts your website for inclusion in the Directory, Yahoo! will consider your preferences, but reserves the right to list your website in any category or subcategory as Yahoo! deems appropriate, in its sole discretion. Once Yahoo! accepts a website for inclusion in the Directory, that website shall be treated as any other listing in the Directory. Yahoo! reserves the right not to include any specific keywords, comments, or annotations with the listing of a website in the Directory.

4.2 Yahoo! reserves the right, in its sole discretion, to remove your website from the Directory, move the listing to a different category or subcategory, and change or remove any keywords, comments, or annotations at any time, for any reason, including but not limited to, a change in the nature, business, goods, or services or content available on the website.

4.3 Any and all press releases and other public announcements related to the inclusion or possible inclusion in the Directory of your website, including the method and timing of such announcements, must be approved in advance by Yahoo! in writing. Yahoo! reserves the right to withhold approval of any press release and/or public announcement in its sole discretion.

5. Appeal

5.1 Yahoo! will contact you by email stating whether the website has been accepted or rejected. If the website is rejected, you are entitled to request one reconsideration, or appeal, of the website at no additional charge by sending an email to the address provided by Yahoo!. Yahoo! must receive your email within thirty (30) days from the date that Yahoo! transmits the rejection email to you. If the request is received by Yahoo! within this time period, Yahoo! will again review your website and will notify you of its final decision regarding including the website in the Directory. If Yahoo! reaffirms its rejection of the website, no further appeals or submissions will be considered.

5.2 If Yahoo! accepts a suggested website, you are entitled to request one reconsideration of the placement of the website, comment fields and title at no additional charge by sending an email to the address provided by Yahoo!. Yahoo! must receive your email requesting such reconsideration within thirty (30) days from the date that Yahoo! transmits the acceptance email to you. If the request is received within this time period, Yahoo! will again review your website and will then notify you of its final decision regarding the website. If you make any substantial changes to your website after it is included in the Directory, you must comply with Yahoo!'s standard change process form, as referred to in sub-clause 2.5 above, to make any changes to the listing in the Directory.

6. Your privacy

6.1 Yahoo! maintains information about You on Yahoo! servers, including but not limited to your registration information. You agree that Yahoo! may use such information in aggregate form for marketing or other promotional purposes. You agree that Yahoo! may disclose such information in the good faith belief that such action is reasonably necessary: (a) to comply with the law or legal process; (b) to enforce this Agreement; or (c) to protect the rights or interests of Yahoo! or others; provided however that nothing in this section shall impose a duty on Yahoo! to make any such disclosures. Our privacy practices are set out in our Privacy Policy.

6.2 Yahoo! may contact you regarding Yahoo! Express using your email address provided during the registration process (or as updated by you). Such email messages may contain opportunities regarding special offers and new products from Yahoo!’s advertisers.

7. Indemnity

You agree to indemnify, defend and hold harmless Yahoo!, its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees and agents, from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your use of Yahoo! Express, your listing in the Directory, the acceptance or rejection of your suggested site, any alleged breach of this Agreement, and/or any breach or alleged breach of any rights of others. Yahoo! reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, which shall not excuse your indemnity obligations.

8. Disclaimer of warranties and liabilities

8.1 YAHOO! EXPRESS IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE MAKE NO EXPRESS OR IMPLIED TERMS, WARRANTIES OR REPRESENTATIONS WITH REGARD TO YAHOO! EXPRESS, ARISING BY LAW OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED TERMS OF SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR ARISING OUT OF COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OR TRADE. WE DO NOT WARRANT THAT OUR WEBSITE WILL BE ERROR FREE, FUNCTION WITHOUT INTERRUPTION OR THAT ANY ERRORS WILL BE CORRECTED. IF AS A MATTER OF LAW WE MAY NOT DISCLAIM ANY WARRANTY, THE SCOPE AND DURATION OF SUCH WARRANTY SHALL BE THE MINIMUM PERMISSIBLE UNDER APPLICABLE LAW.

8.2 SUBJECT TO SUBCLAUSE 8.3 BELOW, YAHOO!, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES AND AGENTS, SHALL NOT BE LIABLE FOR ANY OF THE FOLLOWING LOSSES OR DAMAGE (WHETHER SUCH LOSSES OR DAMAGES WERE FORESEEN, FORESEEABLE, KNOWN OR OTHERWISE): (A) ANY DIRECT OR INDIRECT LOSS OF PROFITS, DATA, REVENUE, INCOME, CONTRACTS, BUSINESS, ANTICIPATED SAVINGS, GOODWILL OR REPUTATION, OR INTERRUPTION OF BUSINESS ARISING OUT OF OR WITH RESPECT TO YOUR USE OF OR INABILITY TO USE YAHOO! EXPRESS, YAHOO!’S ACCEPTANCE OR REJECTION OF A SUGGESTED SITE, OR YAHOO!’S CONTINUED LISTING OF A SITE IN THE DIRECTORY; OR (B) ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES HOWSOEVER CAUSED.

8.3 NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS YAHOO!’S LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY YAHOO!’S NEGLIGENCE, OR FOR FRAUD.

8.4 SUBJECT TO SUBCLAUSES 8.1, 8.2 AND 8.3 YAHOO!’S AGGREGATE LIABILITY TO YOU ARISING OUT OF OR WITH RESPECT TO THIS AGREEMENT SHALL IN NO EVENT EXCEED THE AMOUNT PAID BY YOU TO YAHOO! UNDER THIS AGREEMENT.

9. Force Majeure

Neither party to this Agreement shall be deemed in breach of this Agreement or otherwise liable to the other for any delay or failure in performance under the Agreement resulting directly or indirectly from acts of nature or causes beyond its reasonable control.

10. Notices

Any notices or communications under this Agreement shall be by electronic mail or in writing and shall be deemed delivered upon receipt to the party to whom such communication is directed, at the addresses specified in this clause, or such other address as either party may give the other by notice as provided in this section. If to Yahoo!, such notices shall be addressed to uk-express-general@yahoo-inc.com or 10 Ebury Bridge Road, London SW1W 8PZ, UK. If to you, such notices shall be addressed to the electronic or mailing address specified in your Yahoo! Express registration form.

11. Entire agreement

This Agreement constitutes the entire agreement between the parties with respect to the Service and supersedes all previous agreements, proposals, understandings, communications and (unless made fraudulently) representations, both oral and written between the parties.

12. General

13.1 No single or partial exercise or failure or delay in exercising any right, power or remedy by Yahoo! shall constitute a waiver by Yahoo! of, or impair or preclude any further exercise of, that or any right, power or remedy arising under this Agreement or otherwise.

13.2 Unless expressly provided in this Agreement, no term of this Agreement is enforceable pursuant to the Contract (Rights of Third Parties) Act 1999 by any person who is not a party to it.

13.3 To the extent that any provision of this Agreement is found by any court or competent authority to be invalid, unlawful or unenforceable in any jurisdiction, that provision shall be deemed not to be a part of this Agreement, it shall not affect the enforceability of the remainder of this Agreement nor shall it affect the validity, lawfulness or enforceability of that provision in any other jurisdiction.

13.4 Nothing in this agreement shall create a partnership or joint venture between the parties and, save as expressly provided in the Agreement, neither party shall enter into or have authority to enter into any engagement or make any representation or warranty on behalf of or pledge the credit of or otherwise bind or oblige the other party.

13.5 You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of Yahoo! Express, this Agreement, or your listing in the Directory must be brought within one (1) year after such claim or cause of action arose or be forever barred.

13.6 The headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement.

This Agreement shall be governed and construed in accordance with the laws of England and Wales, and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
